ITEM 8.01. Other Events.

On July 7, 2023, the Board of Directors of Northrop Grumman Corporation (the “Company”) elected Kathryn G. Simpson as Corporate Vice President and General Counsel, effective October 30, 2023. Ms. Simpson will succeed Sheila C. Cheston, who will retire from the Company effective December 1, 2023 after more than 13 years as the Corporate Vice President and General Counsel of the Company. Ms. Simpson joined the Company in 2012 and is currently the Vice President and Associate General Counsel in the Mission Systems sector. Previously, Ms. Simpson served as the Vice President and Deputy General Counsel.

A copy of the press release announcing the election of Ms. Simpson is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
